【Nondisclosure Agreement】 Required

Everest and you agree to the following conditions pertaining to the handling of confidential information disclosed by Everest and teacher.
Definition
1.1 For the purposes of this Agreement, Confidential Information is defined as information set forth in the following list.
(1) Information related to the all materials, teaching flow, and TALKNOTE system
(2) Information related to the business of Everest, as well as other information belonging or pertaining to said parties which i s not publicly accessible,
even in the case that such information is not clearly specified as confidential
(3) Information which can reasonably be understood to be confidential even when it is not clearly specified as being confidential.
1.2 Notwithstanding the provisions of the previous list, information which can be defined as at least one of the following types of information is not considered Confidential Information
(1) Information which is within the public domain or information which has
entered into the public domain through grounds not attributable to Everest.
(2) Information already possessed by Everest at the time of disclosure
(3) Information lawfully obtained either before or after the time of disclosure by Everest from
a third party without taking on a nondisclosure obligation for said information
(4) Information which is developed or created independently by Everest without using Confidential Information, and which can be proved as such to Everest via written documentation
All disputes, controversies, or differences which may arise between the parties, out of or in relation to this Agreement or for the breach thereof, shall be submitted for
arbitration to be held in the Tokyo District Court of Japan.
Teacher cannot use or utilize any of our materials, methods, the way of teaching or assignment which are used in Everest at a ny other places.
If so, it will be accused to violate our knowledge contents.
【Payment term 】 will be the 15 th of the next month
【lesson cancellation penalty 】 We are going to
have a penalty for immediate cancellation of your lesson,
If you do an immediate cancellation for the lesson under certain circumstances after our agreement,
Penalty: 10,000 yen/lesson
【Failing the Training 】 On the event that the
trainee is not able to meet the required standards
as mandated by the company , he/she is entitled to
receive the following compensation :100% transportation allowance + 50% of the total
training fee.
